Limited Liability Company (LLC)

ADAVATAGES OF A LIMITED LIABILITY COMPANY (“LLC”)

1. They are not liable to any form of taxation in St. Vincent and the Grenadines

2. SVG LLC’s are not required to file details of Members (shareholders) or Managers (directors) on any publicly accessible register.

3. Members, Managers and Officers may reside anywhere in the world and their meetings may, similarly be held wherever they decide. There is no SVG LLC residency or nationality requirement for members, managers and officers.

4.There are no requirements for the filing of annual reports or accounts with any government authority in SVG.

5. It takes approximately 48 hours to incorporate an LLC provided we receive all required documentation and payment.

FEATURES OF A LIMITED LIABILITY COMPANY (“LLC”)

1. The name of the company must contain the words Limited Liability Company or the abbreviation LLC.

2. SVG LLC’s require no minimum level of share capital and in theory could be capitalised at a dollar or less.

3. The share capital may be denominated in any recognised currency.

4. Companies may be formed with as few as one member who may be a natural person or a juridical entity.

5. There is no requirement for a company secretary.

6. SVG LLC Act provides for continuation of companies to and from anywhere around the globe. It also provides for local companies incorporated, and external companies registered in SVG to migrate to the LLC register.

Annual Renewals

In St. Vincent and the Grenadines, the renewal of the company takes place in December every year regardless of when the company was incorporated.

Requirements to incorporate a Limited Liability Company (“LLC”)

1. Notarized copy of passport

2.Notarized copy of Drivers Licence or National ID

3. Notarized copy of a utility bill or similar document, not more than 3 months old as proof of residential address (example water, cable tv, electricity, or telephone bill)

4. Reference from a bank, lawyer, accountant or other professional. References should be on the letterhead of the institution or person issuing the reference.
